This agreement applies as between you (the "Ambassador") and SolQuo LLC, doing business as ACE Project Group ("We," "Us," "Our," or the "Company"), operator of the ACE Ambassadors affiliate program available through aceleadershiplab.com (the "Website"). Your agreement to comply with and be bound by these Terms and Conditions is deemed to occur upon your registration for the Program. If you do not agree to be bound by these Terms and Conditions, you should not register for or participate in the Program.
In this Agreement the following terms shall have the following meanings:
"Ambassador Dashboard": means the online account area where an Ambassador accesses their referral link, tracked commissions, and available marketing materials;
"Business Day": means any day other than a Saturday, Sunday, or U.S. federal holiday;
"Cancellations Policy": means Our refund policy applicable to each Eligible Product, as published at aceleadershiplab.com/terms;
"Commencement Date": means the date of an Ambassador's acceptance into the Program;
"Commission Rate": means the percentage of commission payable on a qualifying referral, as set out in Section 9;
"Direct Referral": means a sale of an Eligible Product to a customer who reached the Website through an Ambassador's unique referral link, trackable without intermediaries;
"Eligible Products": means the products and programs made available for commission under the Program from time to time, as determined by the Company in its sole discretion. Eligible Products are identified in each Ambassador's Dashboard and may change over time;
"Founding Price Window": means the promotional enrollment period, as determined and communicated by the Company in its sole discretion, during which new Ambassadors qualify for Founding Ambassador status;
"Program": means the ACE Ambassadors affiliate program described in this Agreement;
"Registration Data": means the information an Ambassador provides when applying to the Program; and
"We / Us / Our / Company": means SolQuo LLC, doing business as ACE Project Group, a Domestic Limited Liability Company organized under the laws of the State of Texas, Texas SOS file number 801722084, located at 211 E 7th St Ste 620, Austin, TX 78701.
2.1 The Program is open enrollment (self-register) and open to applicants internationally, subject to Section 10 (Payment) regarding currency and tax obligations. By registering, an Ambassador agrees to provide accurate Registration Data and to keep it current.
2.2 We may, at Our sole discretion, decline or revoke Program participation, including for content or conduct that is unlawful, harmful, discriminatory, sexually explicit, or that infringes the intellectual property rights of any party.
2.3 Upon acceptance, an Ambassador will gain access to their Ambassador Dashboard.
Nothing in this Agreement creates a partnership, joint venture, or employment relationship between the Parties. An Ambassador has no authority to bind Us, make representations on Our behalf, or enter contracts in Our name.
4.1 An Ambassador's unique referral link and any provided marketing assets are available in the Ambassador Dashboard and must be used unaltered.
4.2 An Ambassador may not modify, recreate, or alter Our logos, graphics, or trademarked materials without Our prior written approval.
4.3 We reserve the right to request removal or alteration of any link or promotional placement.
As an ACE Ambassador, you agree that you will:
5.1 provide accurate contact, payment, and tax information, and keep it current;
5.2 maintain only one Ambassador account;
5.3 refer customers in good faith and good standing;
5.4 not refer yourself or any business you own or hold a financial interest in;
5.5 not engage in spam, black-hat SEO, incentivized "cash back" offers, or unauthorized coupon/discount promotion without Our prior written approval;
5.6 not bid on paid search terms containing "ACE Project Group," "Calm Command," or confusingly similar variations without Our prior written approval;
5.7 not post or promote your referral link on unlawful, hateful, discriminatory, or sexually explicit sites; and
5.8 comply with all applicable advertising and consumer-protection laws.
Violation of this Section may result in suspension or termination of an Ambassador's account and forfeiture of unpaid commissions.
6.1 Commission is payable only on Eligible Products, as identified in an Ambassador's Dashboard at the time of referral.
6.2 The Company may add or remove Eligible Products at its sole discretion at any time. Ambassadors are responsible for confirming current Eligible Products before promoting them.
We are solely responsible for order processing, payment collection, cancellations, and customer service for all referred sales. Once a customer is referred, the Ambassador has no further involvement in completing the transaction.
We track the origin, product, and revenue of all referred sales. Full reporting is available in the Ambassador Dashboard at all times, reflecting real-time commission status.
9.1 Founding Ambassador Rate. Any Ambassador — individual or corporate — who joins during the Founding Price Window earns a flat 20% Commission Rate, locked in permanently for the life of their Ambassador account, regardless of when the Founding Price Window later closes. The Founding Price Window, including its start and end dates, is determined by the Company in its sole discretion and may be changed, extended, or ended at any time without prior notice to prospective applicants.
9.2 Standard Ambassador Rate. Ambassadors who join after the Founding Price Window closes earn a 10% Commission Rate, increasing to 15% after their 3rd successful referred sale.
9.3 Cookie Duration. A referral is credited to an Ambassador for 90 days from the date of the referred visitor's click-through, tracked via cookie/link attribution.
9.4 Commission Maturity. Commissions are logged as pending in the Ambassador Dashboard immediately upon sale, and become payable 30 days after the sale.
9.5 Untracked Customers. If a referred customer cannot be tracked, no commission will be paid.
9.6 Commission Changes. We may modify Commission Rates applicable to future referrals with 10 Business Days' written notice. An Ambassador may opt out of the Program during that notice period and will be paid any commission earned to date.
9.7 Payout Schedule. Payouts are issued on the last day of each calendar month and include all commissions that have both (a) been referred and (b) passed their 30-day maturity period as of the end of the prior month. Example: a payout issued August 31 includes all qualifying referrals matured as of July 31.
9.8 Minimum Payout. There is no minimum payout threshold — all matured commissions are paid in full each cycle, regardless of amount.
9.9 Voluntary Exit. If an Ambassador chooses to leave the Program other than for cause under Section 14.2, any commissions already earned continue to mature and are paid on the normal schedule described above.
10.1 Commissions are paid via PayPal, bank transfer, or other mutually agreed method, using the payment details provided in an Ambassador's Registration Data, and are issued in U.S. Dollars (USD) regardless of the Ambassador's location.
10.2 Tax Reporting. We collect U.S. tax documentation (Form W-9 or W-8, as applicable) only once an Ambassador's cumulative commissions reach the $600 annual reporting threshold, not at the time of registration.
10.3 An Ambassador is solely responsible for any taxes owed on their commission income, including compliance with local tax laws if located outside the United States.
11.1 We grant an Ambassador a non-exclusive, non-transferable, royalty-free license to use Our trademarks and proprietary methodologies (including Calm Command™, the ACE Framework™, and Biz-Ops EMT™, collectively the "ACE Marks") solely to establish referral links and perform their obligations under this Agreement.
11.2 All ACE Marks remain the sole property of the Company. Nothing in this Agreement transfers ownership of any trademark, copyright, or other intellectual property to an Ambassador.
11.3 We are the sole owner of all content, code, and materials on the Website and in Our course products.
By accepting these Terms, an Ambassador warrants that their promotional channels do not and will not contain unlawful, harmful, discriminatory, or sexually explicit content, and that they have all necessary rights and authority to fulfill their obligations under this Agreement. An Ambassador agrees to indemnify Us against claims arising from their breach of these warranties or their promotional conduct.
13.1 We make no guarantee of specific results, sales volume, or income from Program participation.
13.2 Except as required by law, Our total liability to an Ambassador under this Agreement is limited to the amount of unpaid commission owed at the time of any dispute.
13.3 Nothing in this Agreement limits liability for death or injury resulting from Our negligence.
14.1 This Agreement begins on the Commencement Date and continues until terminated by either Party with 10 Business Days' written notice.
14.2 We may terminate immediately for material breach of these Terms. Commission owed at the time of a for-cause termination may be forfeited.
14.3 Upon termination, an Ambassador's license to use the ACE Marks and Our materials ends immediately, and the Ambassador must remove all referral links and promotional materials referencing Us.
Each Party agrees to keep confidential any non-public information shared under this Agreement and to use it solely to perform obligations under the Program.
16.1 No Waiver. Failure to enforce any provision does not waive Our right to enforce it later.
16.2 Non-Exclusivity. Both Parties are free to enter similar arrangements with others.
16.3 Non-Assignment. An Ambassador may not assign their rights or obligations under this Agreement without Our prior written consent.
16.4 Severability. If any provision is found unenforceable, the remainder of this Agreement remains in effect.
16.5 Notice. All notices under this Agreement shall be sent in writing via email to the Party's registered email address.
16.6 Force Majeure. Neither Party is liable for delays caused by events beyond its reasonable control.
16.7 Governing Law. This Agreement is governed by the laws of the State of Texas, and any dispute shall fall within the jurisdiction of the courts of Tarrant County, Texas.
16.8 Entire Agreement. These Terms constitute the entire agreement between the Parties regarding the Program and supersede any prior understanding, and may only be varied by a signed written document.
